Settlement and Compounding of Section 138 NI Act Cases in West Bengal
Section 147 NI Act expressly makes offences under the Act compoundable. Settlement can therefore provide a route to conclude a Section 138 prosecution, but the payment terms and court disposal must correspond to the actual complaints being resolved.
Compounding Is a Court Process, Not Just a Payment
A private settlement or transfer of money should not automatically be treated as formal disposal of a pending complaint. The parties should identify the proceeding and take the required step before the court so that the case is disposed of in accordance with law.
Supreme Court Guidance on Compounding
The Supreme Court's
Damodar S. Prabhu framework encouraged early compounding and provided a graded-cost structure for delayed compounding. In 2025 the Supreme Court revisited those guidelines in the context of the current Section 138 caseload. The stage of settlement can therefore matter to the procedural and cost consequences.
What a Settlement Should Identify
- complaint and case numbers;
- cheques and amounts covered;
- payment schedule and mode;
- whether payment is full and final or staged;
- consequences of default;
- which proceedings are intended to be compounded; and
- the court steps each party will take.
Multiple Complaints
Where several Section 138 complaints exist, a general statement that the dispute is settled can create avoidable ambiguity. Map each complaint and ensure the agreed disposal corresponds to every cheque and proceeding intended to be resolved.
