Technology disputes that may reach arbitration
Software-development, implementation, SaaS, cloud, licensing, outsourcing and managed-service agreements may contain arbitration clauses. Common disputes concern:- missed milestones, incomplete implementation or failed acceptance tests;
- scope changes, change requests and disputed additional charges;
- availability, response-time, support or service-level commitments;
- subscription fees, usage charges, invoices, credits or termination payments;
- licence scope, source materials, deliverables and intellectual-property allocation;
- data access, return, migration, confidentiality or security obligations;
- warranties, indemnities, liability caps and excluded losses; and
- termination assistance, transition services and business continuity.
Evidence to preserve
- The master agreement, statement of work, schedules, order forms and amendments.
- The arbitration, governing-law, jurisdiction, notice and escalation clauses.
- Requirements, architecture, specifications, implementation plans and acceptance criteria.
- Change requests, sprint or project records, approvals and price-impact correspondence.
- Tickets, incident reports, service-level reports and support communications.
- Version histories, release records, audit trails and relevant system logs preserved lawfully.
- Invoices, usage records, credits, payment correspondence and account statements.
- Termination, cure, suspension, data-return and transition communications.
Evidence collection should respect confidentiality, privacy, privilege, access controls and contractual restrictions. Do not alter production systems merely to prepare a dispute record.
An eight-step technology-arbitration assessment
- Map the contract stack. Determine which master terms, order forms, statements of work, policies and amendments govern the disputed service.
- Define the disputed obligation. Link each allegation to the contractual promise, acceptance criterion, service level or payment term.
- Preserve the technical record. Identify relevant logs, tickets, repositories, reports and communications with appropriate controls.
- Reconstruct delivery and decisions. Build a dated record of requirements, releases, changes, incidents, approvals and objections.
- Review the arbitration clause. Check scope, prerequisites, seat, venue, rules, tribunal appointment and confidentiality provisions.
- Assess interim needs. Consider continued access, data preservation, confidentiality, source materials, payment security or other time-sensitive issues.
- Quantify claim and defence. Separate unpaid charges, credits, re-performance costs, transition costs and other heads, subject to the contract and proof.
- Plan resolution and continuity. Evaluate arbitration alongside practical transition, remediation or settlement options that protect ongoing operations.
Seat, venue and governing law
These terms perform different functions. The governing law addresses the contract; the juridical seat connects the arbitration to a supervisory legal system; and a hearing may take place at a different venue. The named institution or rules can also affect procedure. The clause should be read as a whole before selecting a court or beginning appointment steps.
Contract review and dispute strategy are different
A pre-signing review allocates risk before performance. Arbitration strategy deals with an existing dispute, the evidentiary record and available relief. Businesses still negotiating terms may start with the business-law services overview; an existing dispute should also be mapped to the arbitration services hub.For time-sensitive and post-award issues, see the guides to Section 9 court measures and Section 34 award challenges.
Frequently asked questions
Can screenshots alone prove a software dispute?
They may be relevant but rarely tell the whole story. Authenticity, context, access, system records, contract terms and the method of collection matter.
Does an arbitration clause cover intellectual-property issues?
The clause, nature of the right and relief sought must be assessed. It should not be assumed that every issue between the parties falls within the clause.Can a provider suspend access during a payment dispute?
The contract, notice provisions, proportionality of the proposed step and any applicable interim relief require review. Suspension should not be assumed to be automatically permitted or prohibited.What if the contract names another city as the seat?
That choice may affect court supervision even if the parties or project are in Kolkata. The full clause and current law should be reviewed before filing.Should confidential source code be attached to the first notice?
Not automatically. Relevance, preservation, access controls and a suitable confidentiality process should be considered before sensitive material is disclosed.Official legal source
Review the Arbitration and Conciliation Act, 1996 on India Code (checked 20 September 2026). Current amendments and applicable rules should be checked for the matter.
